1. Scope and Provider
(1) These Terms of Service govern all contracts for the acquisition of digital content
concluded via the online store at [SHOP URL] between PDF Guide Company, [ADDRESS]
("Provider") and the customer.
(2) The version in force at the time the contract is concluded shall apply.
(3) Conflicting terms of the customer shall not form part of the contract unless the
Provider has expressly agreed to their application in writing.
2. Subject Matter
The subject matter of the contract is the supply of digital content in non-tangible form
(PDF guides, templates, prompt libraries and comparable downloadable materials,
hereinafter "Digital Products").
3. Conclusion of Contract
(1) The display of products in the store does not constitute a binding offer but an
invitation to submit an offer.
(2) By clicking the order button, the customer submits a binding offer.
(3) The contract is concluded upon confirmation of the order or provision of the Digital
Product by the Provider.
4. Prices and Payment
(1) All prices are stated in [Euro] and include statutory VAT where legally applicable.
(2) Payment is made via the payment methods offered in the store. The Digital Product is
provided after receipt of payment in full.
5. Delivery / Provision
Provision is made electronically by making the product available for download or sending
an access link. No physical shipment takes place. Details are set out in our Shipping &
Delivery information.
6. Withdrawal and Refunds
The right of withdrawal for consumers and refunds are governed by our Withdrawal
Instructions and our Return & Refund Policy, available at [URL], which form part of these
Terms.
7. Rights of Use / Licence
(1) The customer receives a simple, non-transferable right to use the Digital Product for
their own [private or internal business] purposes.
(2) Prohibited in particular are resale, transfer to third parties, reproduction for
distribution, making available to the public, and any commercial exploitation of the
Digital Product or parts thereof, unless expressly permitted.
(3) All copyright and other proprietary rights remain with the Provider.
8. Warranty / Conformity
The statutory provisions on the conformity of digital content (§§ 327 et seq. German
Civil Code) apply. Claims for defects are governed by those provisions.
9. Liability
(1) The Provider is liable without limitation for intent and gross negligence and for
injury to life, body or health.
(2) For slight negligence, the Provider is liable only for breach of a material
contractual obligation (cardinal obligation) and is limited to the foreseeable damage
typical for this type of contract.
(3) Any further liability is excluded. Liability under the German Product Liability Act
remains unaffected.
(4) The Digital Products do not constitute legal, tax or financial advice.
10. Final Provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on
Contracts for the International Sale of Goods. Mandatory consumer-protection provisions of
the state in which the consumer has their habitual residence remain unaffected.
(2) Should any provision be invalid, the validity of the remaining provisions remains
unaffected.
